SONIQ Mail is a trading style of We Are One 1 Limited, a company registered in England and Wales (Company Number: 15052885). Registered Office: 20 Wenlock Road, London, N1 7GU, United Kingdom.

1. Introduction and Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", "your") and We Are One 1 Limited, trading as SONIQ Mail ("SONIQ Mail", "we", "us", "our").

By creating an account, accessing, or using SONIQ Mail services, you agree to be bound by these Terms, our Privacy Policy, and any additional terms that may apply. If you do not agree to these Terms, you must not use our services.

If you are using SONIQ Mail on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

2. Definitions

  • "Service" means the SONIQ Mail email platform, including the website (soniqmail.co.uk), web application, mobile applications, APIs, and all related services
  • "SONIQ Mailbox" means the email address and mailbox provided to you at the @soniqmail.co.uk domain
  • "Connected Account" means a third-party email account (Gmail, Outlook, Yahoo, etc.) that you authorise SONIQ Mail to access
  • "Content" means any emails, attachments, data, text, or other materials you transmit, store, or receive through the Service
  • "AI Features" means our artificial intelligence-powered features including scam detection, email categorisation, and subscription tracking

3. Eligibility

To use SONIQ Mail, you must:

  • Be at least 13 years of age (or the minimum age required in your jurisdiction)
  • If aged 13-17, have parental or guardian consent where required by law
  • Have the legal capacity to enter into a binding contract
  • Not be prohibited from using the Service under applicable laws
  • Provide accurate and complete registration information

4. Account Registration and Security

4.1 Account Creation

You must provide accurate, current, and complete information during registration. You agree to update your information to keep it accurate and complete.

4.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your password and account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorised access or security breach
  • Using a strong, unique password

We recommend enabling two-factor authentication when available.

4.3 Account Restrictions

You may not:

  • Create multiple accounts for abusive purposes
  • Share your account credentials with others
  • Use another person's account without permission
  • Sell, transfer, or license your account to third parties

5. Service Description

5.1 SONIQ Mailbox

We provide you with an email address at the @soniqmail.co.uk domain. This mailbox is hosted on our secure mail servers and includes features such as:

  • Email sending and receiving
  • Email storage and organisation
  • AI-powered scam detection and protection
  • Smart categorisation and filtering
  • Subscription tracking

5.2 Connected Accounts

You may connect third-party email accounts (Gmail, Outlook, Yahoo) to view and manage them within SONIQ Mail. When you connect an account:

  • You authorise us to access that account via OAuth or similar authentication
  • You grant us permission to read, display, and (if enabled) send emails on your behalf
  • You remain bound by the third party's terms of service
  • You can disconnect the account at any time

5.3 AI Features

Our AI-powered features analyse your email content to provide protective services. By using these features, you acknowledge that:

  • AI analysis is automated and may not be 100% accurate
  • Scam detection is advisory and does not guarantee protection
  • You should exercise your own judgment regarding suspicious emails
  • We may improve AI models using anonymised, aggregated data

6. Acceptable Use Policy

6.1 Permitted Use

You may use SONIQ Mail for lawful personal and business email communication in accordance with these Terms.

6.2 Prohibited Conduct

You agree NOT to use the Service to:

  • Send Spam: Transmit unsolicited bulk email, chain letters, or pyramid schemes
  • Distribute Malware: Send viruses, malware, or other harmful code
  • Engage in Phishing: Attempt to deceive recipients or impersonate others
  • Harass or Abuse: Send threatening, abusive, defamatory, or harassing communications
  • Violate Laws: Engage in any illegal activity or violate any applicable laws
  • Infringe Rights: Violate intellectual property, privacy, or other rights of third parties
  • Distribute Harmful Content: Transmit content that is obscene, promotes violence, or exploits minors
  • Interfere with Service: Attempt to disrupt, overload, or interfere with our servers or networks
  • Circumvent Security: Attempt to bypass security measures or access unauthorised areas
  • Reverse Engineer: Decompile, reverse engineer, or attempt to derive source code
  • Resell Service: Resell, sublicense, or commercially exploit the Service without authorisation
  • Automate Excessively: Use bots, scrapers, or automated tools in ways that burden our systems

6.3 Email Sending Limits

To prevent abuse and ensure service quality, we impose reasonable limits on email sending. These limits vary by subscription plan and are detailed in your account dashboard.

6.4 Enforcement

We reserve the right to investigate violations and take appropriate action, including:

  • Warning you about the violation
  • Temporarily suspending your account
  • Permanently terminating your account
  • Reporting illegal activity to law enforcement
  • Pursuing legal remedies

7. Subscription Plans and Payment

7.1 Free and Paid Plans

SONIQ Mail offers both free and paid subscription plans. Features and limits vary by plan and are described on our pricing page.

7.2 Payment Terms

For paid subscriptions:

  • Fees are charged in advance on a monthly or annual basis
  • Payment is processed securely through Stripe
  • All fees are in British Pounds (GBP) unless otherwise stated
  • Fees are inclusive of VAT where applicable
  • You authorise us to charge your payment method for recurring fees

7.3 Billing and Renewal

Subscriptions automatically renew at the end of each billing period unless cancelled. You will be charged the then-current rate at renewal.

7.4 Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation:

  • You retain access to paid features until the end of your current billing period
  • Your account will revert to the free plan
  • No refunds are provided for partial billing periods

7.5 Refunds

We do not generally offer refunds. However, we may consider refund requests in exceptional circumstances at our discretion. UK consumer rights are not affected.

7.6 Price Changes

We may change our prices with at least 30 days' notice. Price changes will take effect at your next billing cycle after the notice period.

8. Intellectual Property

8.1 Our Intellectual Property

SONIQ Mail, including its software, design, logos, trademarks, and content, is owned by We Are One 1 Limited or its licensors. You may not copy, modify, distribute, sell, or lease any part of our Service without permission.

8.2 Your Content

You retain ownership of your Content. By using the Service, you grant us a limited licence to:

  • Store, process, and transmit your Content to provide the Service
  • Analyse your Content for AI features (scam detection, categorisation)
  • Create backups for service continuity

This licence is non-exclusive, royalty-free, and terminates when you delete your Content or account.

8.3 Feedback

If you provide feedback, suggestions, or ideas, we may use them without obligation to you.

9. Privacy and Data Protection

Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our data practices as described in the Privacy Policy.

10. Third-Party Services

10.1 External Email Providers

When you connect Gmail, Outlook, Yahoo, or other external accounts, you are also bound by their terms of service and privacy policies. We are not responsible for those services.

10.2 Links to Third-Party Websites

The Service may contain links to third-party websites. We do not endorse or take responsibility for their content or practices.

10.3 Third-Party Integrations

We may offer integrations with third-party services. Your use of such integrations is at your own risk and subject to the third party's terms.

11. Disclaimers and Limitations

11.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11.2 No Guarantee of Availability

We do not guarantee that the Service will be uninterrupted, error-free, or free of harmful components. We may suspend the Service for maintenance, updates, or circumstances beyond our control.

11.3 AI Limitations

Our AI features are provided as tools to assist you. We do not guarantee:

  • 100% accuracy in scam or phishing detection
  • Detection of all malicious emails
  • Accuracy of email categorisation or summaries

You should not rely solely on AI features for security decisions.

11.4 Email Delivery

We cannot guarantee delivery of emails, as delivery depends on recipient servers and other factors outside our control.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • WE ARE NOT LIABLE FOR LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL
  • OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR £100, WHICHEVER IS GREATER

These limitations apply regardless of the theory of liability (contract, tort, or otherwise) and even if we have been advised of the possibility of such damages.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless We Are One 1 Limited, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your Content

14. Term and Termination

14.1 Term

These Terms remain in effect while you use the Service.

14.2 Termination by You

You may terminate your account at any time by using the account deletion feature or contacting us. Upon termination:

  • Your access to the Service will end
  • Your SONIQ Mailbox will be deactivated
  • Your data will be deleted in accordance with our Privacy Policy

14.3 Termination by Us

We may suspend or terminate your account if:

  • You breach these Terms
  • Your use poses a security risk
  • Required by law
  • The Service is discontinued

We will provide reasonable notice where possible, except in cases of serious violations.

14.4 Effect of Termination

Upon termination, Sections 8, 11, 12, 13, 16, and 17 survive.

15. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by:

  • Posting updated Terms on our website
  • Sending an email notification
  • Displaying a notice in the application

Changes take effect 30 days after posting unless we specify otherwise. Continued use after changes constitutes acceptance. If you disagree with changes, you must stop using the Service.

16. Governing Law and Disputes

16.1 Governing Law

These Terms are governed by the laws of England and Wales, without regard to conflict of law principles.

16.2 Jurisdiction

Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

16.3 Informal Resolution

Before initiating formal proceedings, you agree to contact us to attempt to resolve the dispute informally. Most disputes can be resolved quickly through communication.

17. General Provisions

17.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding the Service.

17.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in effect.

17.3 Waiver

Our failure to enforce any provision does not waive our right to enforce it later.

17.4 Assignment

You may not assign your rights under these Terms without our consent. We may assign our rights to any successor or affiliate.

17.5 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights.

17.6 Force Majeure

We are not liable for failures or delays caused by circumstances beyond our reasonable control, including natural disasters, war, terrorism, strikes, or infrastructure failures.
